Terms of Service

By accessing or using the NEXA website at nexa.community or any associated NEXA service (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the Service.

These Terms form a legally binding agreement between you and NEXA (“we”, “our”, or “us”). We may update these Terms from time to time. We will post the updated date and give notice of material changes. Continued use after the updated Terms take effect constitutes acceptance of them.

NEXA offers professional networking and event services. Available features may include:

• A web-based onboarding flow accessible at nexa.community.
• An AI voice conversation that gathers information about your professional goals.
• Identification of potential warm introduction paths through your network, using data you provide and, with your permission, data from connected sources such as Google Contacts.
• Delivery of warm introduction suggestions via email, the NEXA mobile application, or other channels we may offer.
• Private messaging with NEXA for questions, an invite-only waitlist, and, where available, networking assistance.
• A separate NEXA Events account for hosts who use NEXA as a Partiful co-host to review guests at their events.

The Service is intended for professional networking and event participation purposes. NEXA does not guarantee any specific outcome, including the success of any introduction or the achievement of any professional goal.

Sending NEXA a question does not join a waitlist, RSVP you to an event, or authorize NEXA to contact your connections. If you ask to join the waitlist, any invitation or later networking action still requires the relevant permission. You can ask NEXA to stop proactive messages; reply STOP to stop texts. A message or RSVP does not guarantee an introduction, event admission, or any other outcome.

If both people opt in to an introduction, NEXA may create a group chat with them to facilitate it. Each person must agree after being told that their phone number will be visible to every member of the group chat, including the other match. This lets group members contact each other to continue the introduction. Opting in to one proposed group does not authorize unrelated messages.

Event hosts remain responsible for their events, attendance criteria and final decisions. Where enabled, NEXA may analyze guest answers, approve guests under host-selected settings, or place them on a reversible waitlist. NEXA never automatically declines a guest. The host must explicitly make any decline. Open events do not receive automated guest scoring or decisions. Partiful operates its own RSVP service under its own terms.

If you join an event host's matching program through NEXA: The host of an event you join through NEXA can see your name, role, company, LinkedIn link, a short summary of your answers and your phone number with most digits hidden, to review matches. They never see your messages with NEXA. NEXA also uses your NEXA profile, LinkedIn and, if you added one, your resume to find your matches; the host does not see those. You can leave any time and ask us to delete your data.

A host who uses the co-host service must separately accept the current NEXA co-host terms. Those specific terms govern the co-host service if they conflict with these general Terms. An event guest does not become a NEXA account holder merely by RSVPing through Partiful.

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that you meet this requirement. If you are using the Service on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

Where an account is needed, you sign in using your Google account. Messaging with NEXA may start without creating an account. A NEXA Events account is separate from a NEXA networking account. You are responsible for maintaining the security of your account and messaging channel and for activity through your session. Notify us immediately at zubin@nexa.community if you suspect unauthorised access.

Creating duplicate accounts to circumvent a restriction or misuse the Service is prohibited.

You agree not to use the Service to:

• Provide false, misleading, or inaccurate information about yourself or your professional background.
• Harass, threaten, or harm any person, including individuals identified as potential introductions.
• Use the Service for any unlawful purpose or in violation of any applicable law or regulation.
• Attempt to gain unauthorised access to any part of the Service or its infrastructure.
• Collect or extract data from the Service by automated means.
• Use the Service to send unsolicited communications or spam to any person.
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We reserve the right to suspend or terminate accounts that violate these rules without prior notice.

If you grant NEXA permission to access your Google Contacts, you authorise us to retrieve the names, email addresses, and professional details of your contacts for the sole purpose of identifying potential warm introductions within your existing network. This access is governed by our Privacy Policy and the Google API Services User Data Policy.

You represent that you have the right to share this contact data with NEXA and that doing so does not violate any obligation you have to the individuals in your contacts or to any third party.

You may revoke Google Contacts access at any time through your Google Account permissions.

You retain ownership of any content you submit to the Service, including resume files, professional goals, and information shared during your AI conversation. By submitting content, you grant NEXA a limited, non-exclusive, royalty-free licence to use, store, and process that content solely to provide the Service to you.

You are responsible for ensuring that any content you submit does not infringe the intellectual property or other rights of any third party and does not contain any confidential or proprietary information of any employer or other entity.

All rights, title, and interest in and to the Service, including its design, software, trademarks, and content (excluding content you submit), are owned by or licensed to NEXA. Nothing in these Terms grants you any right to use the NEXA name, logo, or branding without our prior written permission.

Our collection and use of personal information is described in our Privacy Policy. The Privacy Policy explains our data practices. Using the Service does not replace any separate permission we request for optional contacts access, using event information for NEXA's own matching, or an outward introduction.

The Service is provided “as is” and “as available” without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

NEXA does not warrant that the Service will be uninterrupted, error-free, or free of harmful components. NEXA does not guarantee that any introduction will result in a successful professional outcome.

Information provided through the Service, including AI-generated content, is for informational purposes only and does not constitute professional, legal, financial, or career advice.

To the fullest extent permitted by law, NEXA and its founders, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or relating to your use of the Service, even if advised of the possibility of such damages.

Our total liability to you for any claim arising out of or relating to these Terms or the Service shall not exceed the greater of (a) the amount you paid to use the Service in the 12 months preceding the claim, or (b) USD $100.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above may not apply to you.

You agree to indemnify and hold harmless NEXA and its founders, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

You may stop using the Service at any time. To request deletion of your account and associated data, email zubin@nexa.community.

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Provisions of these Terms that by their nature should survive termination (including intellectual property, disclaimers, and limitation of liability) will do so.

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.
